Terms of Service

Welcome to ShopUp Ghana. These Terms of Service ("Terms") govern your use of our e-commerce platform, website, and services. By creating an account or using ShopUp, you agree to these Terms.
1. Definitions
- "Platform" means the ShopUp website, applications, and services
- "Seller" means any individual or business selling products on ShopUp
- "Customer" means any individual purchasing products through ShopUp
- "User" means any Seller, Customer, or visitor to the Platform
- "Content" means text, images, products, descriptions, and other materials
2. Account Registration
To use certain features of ShopUp, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Be responsible for all activities under your account
- Not share your account or allow others to access it
3. For Sellers
If you register as a Seller, you additionally agree to:
- Provide accurate product descriptions and pricing in Ghana Cedis (GHS)
- Only sell products that you are legally permitted to sell
- Fulfill orders promptly and communicate with customers
- Not sell prohibited items (counterfeit goods, illegal items, hazardous materials)
- Handle customer complaints professionally
- Comply with all applicable Ghana laws and regulations
- Pay applicable platform fees as disclosed
4. For Customers
If you use ShopUp to make purchases, you agree to:
- Provide accurate delivery information
- Pay for products using valid payment methods
- Not attempt to defraud sellers or the platform
- Review the refund and return policies before purchasing
- Communicate respectfully with sellers
5. Payments
ShopUp uses Paystack for payment processing. By making a purchase:
- You authorize the charge to your selected payment method
- All prices are in Ghana Cedis (GHS) unless otherwise stated
- Payment processing is subject to Paystack's terms of service
- We support card payments and Mobile Money (MTN, Vodafone, AirtelTigo)
6. Platform Fees
ShopUp charges sellers a commission on each sale. Current fees are:
- Standard commission: 3% per successful transaction
- Payment processing fees may apply (set by Paystack)
- No monthly subscription fees for basic sellers
Fee changes will be communicated 30 days in advance.
7. Prohibited Activities
You may not use ShopUp to:
- Violate any laws or regulations
- Sell counterfeit, stolen, or illegal products
- Engage in fraud or misrepresentation
- Harass, threaten, or abuse other users
- Attempt to hack, disrupt, or exploit the platform
- Circumvent platform fees or payment processes
- Create multiple accounts to evade bans or limits
- Scrape data or use automated tools without permission
8. Intellectual Property
- ShopUp owns all rights to the platform, branding, and software
- Sellers retain ownership of their product content but grant ShopUp a license to display it
- You may not copy, modify, or distribute ShopUp's platform without permission
9. Limitation of Liability
To the maximum extent permitted by Ghana law:
- ShopUp is not liable for disputes between sellers and customers
- We do not guarantee the quality, safety, or legality of products
- We are not responsible for delivery delays caused by third parties
- Our total liability is limited to fees paid to us in the past 12 months
10. Dispute Resolution
For disputes:
- First, attempt to resolve directly with the other party
- If unresolved, contact ShopUp support for mediation
- Disputes will be governed by Ghana law and resolved in Ghana courts
11. Account Termination
We may suspend or terminate accounts that:
- Violate these Terms
- Engage in fraudulent activity
- Receive excessive complaints
- Remain inactive for extended periods
You may close your account at any time by contacting support.
12. Changes to Terms
We may update these Terms from time to time. Significant changes will be notified via email or platform announcement. Continued use after changes constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of the Republic of Ghana. Any disputes shall be resolved in the courts of Ghana.
